The Constitution of the European Economics and Finance Society
ARTICLE I – NAME & ORGANISATION
This organization will be named the European Economics and Finance Society (EEFS).
The EEFS shall be governed by the Committee which shall be made up of three members: The President, General Secretary and the Treasurer
ARTICLE II - OBJECTIVES
1. The objectives of the European Economics and Finance Society will be:
a.) to encourage research in international economics and financial economics and to promote professional communication among researchers in these fields;
b.) to facilitate co-operation and participation in research efforts among international economists and financial economists in the academic, private and government sectors;
c.) maintain close relations with professional organizations (national and International) that share similar scholastic interests and concerns.
d.) to sponsor programs and publications, to conduct other activities appropriate for a non-profit professional society, and to foster the advancement of members.
2. These objectives may be furthered by professional means, including, but not limited to:
a.) professional meetings and conferences,
b.) information services,
c.) a membership directory,
d.) discounts on journal subscriptions, and
e.) professional publications
3. The term "professional" used herein does not imply an attempt at certification or determination of qualifying standards for the practice of international or financial economics. The term is used to denote the concerns of members of a learned society.
ARTICLE III - MEMBERSHIP
1. Any professional economist resident in Europe or the rest of the world willing to pursue the objectives of the Society may apply for membership. Postgraduate students in economics or related fields may apply for non voting junior membership.
2. Membership will be granted, subject to the approval of the Committee, upon submission of a written application and attendance at one of the EEFS conferences for a period of two years from the date of attendance at the Annual Conference.
ARTICLE IV - MEETINGS OF MEMBERS
1. There will be an Annual Meeting of the members at a time and place determined by the Committee but normally at the Annual Conference. At the Annual Meeting there will be a business session for the report of the Committee, consideration of changes in the Bylaws and other items of business.
2. Special meetings of the members may be called at times and places determined by the Committee using its own discretion or asked by a written request of at least 20 members.
3. All meetings should be called with at least thirty (30) days written notice.
4. Twenty-five percent (25%) members of the society including the two members of the Committee will constitute a quorum for business meeting of the members. Any decision or approval of the meeting requires a majority vote, except for amendments of the bylaws (see Article XIV). In the absence of a quorum, recommendations of such a meeting will be circulated for approval by mail ballot with a provision of thirty (30) working days for response.
ARTICLE V - THE FOUNDING MEMBERS
Members of the Society at the birth of EEFS (Europe) constitute the Founding Members of the Society. These founding members of the Society are listed at the end of this document under Article XV.
ARTICLE VI - THE COMMITTEE
1. The Committee of the EEFS will constitute the President, Secretary General and a Treasurer. It may, at its discretion, create a panel of advisors to facilitate the decision-making process. The Committee will:
a.) manage the academic affairs of the Society,
b.) fill all vacancies in elected positions of the Society in case of death or resignation until a successor is elected by the members,
c.) call and organise meetings to promote the Society,
d.) establish and appoint required academic committees
ARTICLE VII - MEETINGS OF THE COMMITTEE
1. Meetings of the Committee may be held at such times and places as necessary to carry out the business of the Society.
2. Meetings of the Committee may be called by the President, Secretary General or Treasurer.
ARTICLE VIII - DUTIES OF OFFICERS
1. The President, Secretary General and the Treasurer will be the officers of the society. The Committee has the right to appoint officers and advisory member to help with the running of the society. In case of emergency, one person can assume the responsibility of three Committee members temporarily.
2. The responsibilities can be separated by officers.
a.) The President will set the strategic aims of the Society and be responsible for representing the Society at
conferences and will be ultimately responsible for the smooth running of the Society.
b) The Secretary General will be responsible for contact with the Secretariat on issues of mutual concern, supervision of
planning for regional EEFS meetings and chairing the meetings of the EEFS.
c.) The Secretary will be responsible for record-keeping and mailings of interest to members.
d.) The Treasurer is responsible for the accounting for financial activities of EEFS.
ARTICLE IX - ELECTION AND TENURE OF MEMBERS OF THE COMMITTEE
1. The President of the Society - will be elected by majority vote of the membership. The term will be five years. Candidates may include the present President.
2. The Secretary General - elect will be elected by majority vote of the membership. The term will be five years. Candidates may include the present Secretary General. This vote will take place by letter ballot supervised by the membership.
3. The Secretary General remains in position until after the expiry of the tenure of the present Secretary General. The term will be five years.
4. The term of office of Secretary General and the Treasurer shall be five years with both having the right to be re-elected by the membership.
5. The Committee will appoint a nominating committee for any office, preferably, no less than one hundred twenty (120) days prior to the beginning of the term for which an election is to be held. The nominating committee will decide, in each election, the procedure for electing a candidate.
ARTICLE X - COMMITTEES
Standing and ad hoc committees shall be appointed by the Secretary General in consultation with the membership of the Society.
ARTICLE XI MEMBERSHIP OF THE SOCIETY
Attendance at the Annual Conference will confer membership rights to the Society for a period of 2 years from the date of attendance at the conference.
ARTICLE XII - SEVERANCE OF MEMBERSHIP
1. A member in good standing may resign by submitting a written resignation to the Secretary General.
2. A member whose conduct has been prejudicial to the good of the Society or inconsistent with its objectives and bylaws may be dropped from membership and any office by two thirds vote of the registered membership. The member must be notified at least twenty (20) days in advance of the meeting as to the charges, and must be given the opportunity to answer charges in person, in writing, or by an authorized representative.
3. In the event of any inconsistency the decision of the Committee will be final.
4. The Secretary General and Treasurer can jointly decide to unilaterally terminate any member's membership by notifying the member of their joint decision, there will be no right to appeal in this instance.
ARTICLE XIII - INTERPRETATION OF BYLAWS
All questions of interpretation of the bylaws will be decided by the Committee.
ARTICLE XIV - AMENDMENTS OF BYLAWS
1. The Bylaws may be adopted, annulled, or amended by the affirmative vote of majority of the members voting by letter or at the Annual Meeting.
2. No such action will be taken at the Annual Meeting unless the change in the bylaws is proposed by the Committee or by written request of at least twenty (20) members. Notice of the proposed change must be mailed by the Secretary General.to each member, at least thirty (30) days in advance of the Annual Meeting.
